To use the products and services (the "Services"), you must read and comply with this User Service Agreement (this "Agreement").
Before using the Services, please read and fully understand all provisions of this Agreement, in particular those concerning ownership of rights and limitation of liability. By using the Services, you are deemed to have read, understood and agreed to be bound by this Agreement.
The Services may be used without registration or sign-in. If you are under 18 years of age, please read and confirm your agreement under the supervision of a guardian before use.
The Services are a conversational content-generation tool based on artificial intelligence technology. By entering a textual description (a "prompt"), you receive an image or video generated for you by AI; you may also upload an image to serve as a generation reference or as the subject of editing. Generated videos may include sound.
Ways of using the Services include, without limitation: entering a prompt to obtain an AI-generated image or video; uploading an image and editing it by prompt, or using it as a reference for video generation; and adjusting or refining the prompt to obtain a new result that better matches your expectations.
2.1 Intended users. The Services are intended primarily for adults. If you are a minor under 18 years of age, or lack full civil capacity by reason of intellectual or mental health condition, please read this Agreement under the guidance and supervision of your guardian, and use the Services with your guardian's consent and accompaniment.
2.2 Setting and purpose of use. The Services are intended for personal study, research, appreciation, daily life and entertainment.
2.2.1 Technical limitations. The Services are provided on the basis of large-model artificial intelligence technology. Limited by the current state of the art, generated content may be inaccurate, fall short of expectations, be inappropriate, or resemble content generated by other users. We make no warranty as to the authenticity, accuracy, uniqueness or fitness of generated content, and you should exercise your own judgement in using them according to your needs.
3.1 You are not required to sign in before using the Services. However, we reserve the right to change the methods of account registration and binding according to user needs or product requirements.
3.2 Ownership of accounts vests in us; users obtain only a right of use, and that right belongs solely to the person who originally applied for registration. The original registrant may not gift, lend, lease, transfer or sell the account, or otherwise license it to any other person. No person other than the original registrant may use the account by way of gift, inheritance, lease, assignment or any other means.
3.3 You understand and undertake that the account information you set will not violate national laws, regulations, policies or the applicable product rules. You must not maliciously register accounts through frequent or bulk registration.
3.4 You are responsible for properly safeguarding the security of your registered account information, and you bear legal responsibility for activity under your account. You agree not to disclose your account information to others under any circumstances. If you suspect that another person is using your account, you should notify us immediately.
3.5 If you do not use your account for an extended period after registering or creating it, we reserve the right to reclaim the account so as to avoid waste of resources; any loss arising therefrom is borne by you.
3.6 We provide an account-deletion function. You may delete your account by contacting our customer support.
You are responsible for all consequences of your conduct in connection with the Services, including without limitation the content of the prompts you enter and the manner in which you use generated content. If you use the Services to engage in unlawful activity or to infringe the lawful rights and interests of any third party, you shall bear all resulting legal liability independently and indemnify us for all losses we suffer as a result.

When using content (including images and videos) generated through the Services, you shall comply with laws, regulations and public order and good morals, and shall not use generated content for the following purposes:
Where we require you to retain a brand watermark, you must not remove or tamper with the relevant brand watermark identified on generated content without authorisation; alternatively, you shall conspicuously indicate, in the context in which the generated content is used, that the relevant output was generated by the Services.
If we find that you have used the Services to engage in unlawful activity or in breach of this Agreement, we are entitled to take measures including restricting functionality, blocking the relevant prompts, and suspending or terminating the Services, and to report the matter to the competent authorities. You shall bear sole responsibility for any claim, demand or loss asserted by any third party as a result of your breach of this Agreement; where we suffer loss as a result, you shall also indemnify us.
We maintain channels through which the public may lodge complaints and reports. If you discover unlawful conduct, unlawful or harmful information, or content infringing your lawful rights and interests (including without limitation intellectual property, personal information, right of likeness or right of reputation) in the Services or in content generated by the Services, please contact us at any time to lodge a complaint or report. We will accept and handle your complaint or report promptly in accordance with applicable laws and regulations.
5.1 The intellectual property rights in the content we provide in the products and related services (including without limitation software, technology, programs, web pages, text, pictures, images, audio, video, charts, layout design and electronic documents) belong to us. The copyright, trademark rights, patent rights, trade secrets and other intellectual property rights in the software on which we rely in providing the Services all belong to us. Without our permission, no person may use or transfer them without authorisation (including without limitation monitoring, copying, disseminating, displaying, mirroring, uploading or downloading the content of the products and related services by means of any robot, spider or other program or device).
5.2 You may provide input content to the Services ("Input") and receive output content generated on the basis of the Input ("Output"); Input and Output are together referred to as "Content". You warrant that the text, images, video, audio and other content you enter when using the products and related services is original to you or has been lawfully authorised (including sub-licensed), and does not infringe any person's intellectual property, right of likeness, right of reputation, right of name, right of privacy, personal-information rights and interests, trade secrets or other lawful rights and interests.
5.3 The intellectual property and/or related rights and interests in the Content you provide as Input belong to you or to the original rights holder. As between you and us, and to the extent permitted by applicable law, you own any right, title and interest (if any) in the Output. You acknowledge and authorise that, on the premise that the Content has been processed with secure encryption technology, strictly de-identified and rendered incapable of re-identifying any specific individual, we may use the Content to provide, maintain, develop and improve our services, to comply with applicable regulations and policies, to enforce our terms and product rules, and to ensure the security of our services.
5.4 You must not, under any circumstances, use any of our trademarks, service marks, trade names, domain names, website names or other distinctive brand features (collectively, the "Marks") without authorisation. Without our prior written consent, you must not display or use the foregoing Marks, whether alone or in combination, in any manner, nor otherwise deal with them.
When you use the Services, or request particular services from them, third-party systems may be invoked or third parties may otherwise support your use or access, and the results of such use or access are provided by that third party. We do not warrant the security, accuracy, effectiveness or other uncertain risks of services and content provided through third parties; any dispute or damage arising therefrom is unrelated to us and we bear no liability. You should form your own judgement as to third-party services within the Services and bear all risks arising from your use of such resources. When using products or services provided by third parties, you should comply with the third party's user agreement in addition to this Agreement.
You acknowledge and agree that content generated by the Services is produced automatically by artificial-intelligence models and does not represent our position, views or any professional opinion. We do not warrant the accuracy, authenticity, availability, security, completeness or propriety of content and information generated through the Services. You may encounter content and information that is incorrect, unpleasant, inappropriate or objectionable. We neither endorse nor recommend such content, and we bear no liability beyond that provided by law for errors, defects or resulting losses. Any use you make of such content and information is at your own risk.
We bear no liability for breach in respect of service interruption, data deletion, storage failure or defective performance failing to meet your requirements arising from the following:
Force majeure factors such as natural disaster, strike, riot, war, governmental action or judicial and administrative order;
Third-party factors such as power supply failure, communications network failure, mobile terminal viruses or hacker attack, and system instability;
Where we have exercised good-faith management, factors such as routine or emergency equipment and system maintenance, equipment and system failure, and network information and data security.
We control and provide the Services through facilities located within the People's Republic of China, and we do not warrant that the services so controlled or provided are appropriate or available in other countries or regions. Any user using the Services in another jurisdiction shall be responsible for ensuring their own compliance with local laws and regulations; we bear corresponding liability only where expressly provided by law.
For the sake of a better user experience or for other reasons, we may carry out scheduled or unscheduled maintenance, updates and repairs to the product software and hardware. Where this renders the relevant services temporarily unusable, we bear no liability to the extent permitted by law, and we will endeavour to notify users in advance. The rights we obtain under this Agreement to deal with unlawful content do not constitute an obligation or undertaking on our part, and we cannot guarantee that unlawful conduct will be detected or dealt with in a timely manner.
You understand and agree that we provide no warranty or condition of any kind, express or implied, in respect of the Services, such as fitness for a particular purpose or non-infringement.
To the maximum extent permitted by law, our aggregate liability arising out of the Services is capped at the fees you have actually paid to us for the Services (if any); if you have paid no fees, we bear no monetary liability.
7.1 Responsibility for your own conduct. Save where we are at fault, you are responsible for all consequences of conduct under your "Morphly" account (including without limitation executing agreements online, publishing information, clicking advertisements, participating in activities and services, and disclosing information). If you discover any unauthorised use of your account, or any other circumstance that may result in your account being stolen or lost, we recommend that you notify us immediately. You understand that any action taken by "Morphly" in response to your request requires a reasonable time, and that action taken by "Morphly" at your request may be unable to avoid or prevent the occurrence or aggravation of harm; save where "Morphly" is at fault as provided by law, we bear no liability.
7.2 Standards for use of the software and services
7.2.1 No impairment of the integrity of the software and services. Without our written permission, no user or third party may, among other things: reverse-engineer "Morphly", including by disassembly or decompilation; modify or damage "Morphly" and its services as provided; interfere or attempt to interfere with any user's or any other party's access to the "Morphly" services; make any alteration of any kind to the source pages of "Morphly" and related services, including without limitation homepage links, advertising-system links and content API interfaces; or obstruct the display of the source pages of "Morphly" and related services in any way, including by masking, insertion or pop-ups.
7.2.2 No simulation or misappropriation of information or data. Without our written permission, no user or third party may, among other things:
(1) imitate the appearance and functionality of "Morphly" and related services by means of any "framing", "mirroring" or other technique;
(2) directly or indirectly misappropriate video, graphic or other information content of "Morphly" and related services by any means (including without limitation hotlinking, redundant misappropriation, unlawful scraping, simulated downloading, deep linking or false registration), or delete or alter the electronic rights-management information of such content by any means (including without limitation concealing or modifying domain names, "Morphly" distinctive marks or user names);
(3) access the "Morphly" services, or collect or process content made available through the "Morphly" services, by using any automated program, software, engine, web crawler, web-analysis tool, data-mining tool or similar tool;
(4) employ any form of identification method, including without limitation special identifiers or special code, to generate, or assist any third party in generating, traffic, or to direct, divert or hijack readership of the information content of "Morphly" and related services, or to produce other adverse effects;
(5) scrape, compile statistics on, or analyse data concerning the conduct of "Morphly" users or its operations, and still less publish, provide or disclose such data to any third party by any means;
(6) use the Services or the content generated by them to research and develop products and models competing with the "Morphly" products and services, including developing or training any artificial-intelligence or machine-learning algorithm or model.
7.2.3 No endangering of network security. Without our written permission, no user or third party may, among other things: use unauthorised data or access unauthorised servers or accounts; attempt without permission to probe, scan or test for weaknesses in the "Morphly" product systems or networks, or otherwise engage in conduct undermining network security; probe or test whether the "Morphly" services, systems or other users' systems are vulnerable to intrusion, or otherwise circumvent (or attempt to circumvent) any security feature of the "Morphly" services, systems or other users' systems; or intentionally disseminate malicious programs or viruses, or otherwise disrupt or interfere with the normal provision of network information services.
7.2.4 No use beyond the purpose for which the software and services are provided. Without our written permission, no user or third party may, among other things:
(1) sell, rent, lend, distribute, transfer or sublicense the software and services or related links, or profit from use of the software and services or from their terms, whether or not such use produces direct economic or monetary gain;
(2) use the "Morphly" services for any commercial purpose or for the benefit of any third party (this does not restrict a member's right to make commercial use of generated content under the Paid Services Agreement);
(3) participate in any unlawful or potentially unlawful activity or transaction (we are entitled to determine user conduct and the applicable rules, and to act accordingly), including imparting criminal methods, selling any illegal drugs, money-laundering activity or fraud;
(4) gamble, provide gambling data, or induce others by any method to participate in gambling activity.
7.3 Content standards
The information you create, comment on, publish and disseminate shall comply with the provisions of the laws and regulations of the People's Republic of China, including the Cybersecurity Law, the Measures for the Administration of Internet Information Services and the Interim Measures for the Administration of Generative Artificial Intelligence Services, shall observe public order and good morals, and shall not harm national interests, the public interest or the lawful rights and interests of others; failing which we are entitled to take corresponding measures immediately. You agree and undertake not to create, reproduce, publish or disseminate the following information:
7.3.1 Unlawful content. You must not create, reproduce or publish unlawful information containing the following:
(1) content opposing the fundamental principles established by the Constitution;
(2) content endangering national security, divulging state secrets, subverting state power or undermining national unity;
(3) content harming national honour and interests;
(4) content distorting, defacing, blaspheming or denying the deeds and spirit of heroes and martyrs, or infringing the name, likeness, reputation or honour of heroes and martyrs by insult, defamation or otherwise;
(5) content promoting terrorism or extremism, or inciting terrorist or extremist activities;
(6) content inciting ethnic hatred or discrimination, or undermining ethnic unity;
(7) content undermining national religious policy, or promoting cults or feudal superstition;
(8) content spreading rumours or disrupting economic and social order;
(9) content disseminating obscenity, pornography, gambling, violence, homicide or terror, or abetting crime;
(10) content insulting or defaming others, or infringing the reputation, privacy or other lawful rights and interests of others;
(11) any other content prohibited by laws or administrative regulations.
7.3.2 Undesirable information. You must not create, reproduce or publish undesirable information containing the following:
(1) use of sensationalised headlines where the content is seriously inconsistent with the headline;
(2) hyping of gossip, scandal or misconduct;
(3) inappropriate commentary on natural disasters, major accidents or other calamities;
(4) content carrying sexual innuendo or sexual provocation, or otherwise readily giving rise to sexual associations;
(5) content displaying gore, horror or cruelty such as to cause physical or mental discomfort;
(6) content inciting discrimination against groups or regions;
(7) content promoting vulgar, philistine or pandering material;
(8) content liable to induce minors to imitate unsafe conduct or conduct contrary to social morality, or to induce unhealthy habits in minors;
(9) any other content adversely affecting the online ecosystem.
7.3.3 Other prohibited content. You must not create, reproduce or publish content that "Morphly" prohibits, including the following:
(1) falsifying headlines or otherwise manipulating content so as to cause others to mistakenly believe that the content was transmitted by "Morphly";
(2) uploading, publishing, emailing or otherwise transmitting content that you are not entitled to transmit (for example internal or confidential materials);
(3) sending any unsolicited or unauthorised junk email, advertising or promotional material, or any other commercial communication;
(4) sharing or publishing personally identifiable information of any person without that person's express consent, or secretly photographing or recording others without permission, thereby infringing their lawful rights;
(5) disseminating commercial advertising, similar commercial solicitations, excessive marketing information or spam;
(6) publishing information that is devoid of meaning, or deliberately using character combinations to evade technical review;
(7) content infringing the lawful rights and interests of minors or harming their physical or mental health;
(8) content involving terror, violence and gore, or high danger, or harming the physical or mental health of the performer or others, including without limitation any content depicting violence and/or self-harm; any content endangering life and health, or performing with knives or other dangerous implements so as to endanger the person and/or property rights of oneself or others; or content encouraging or inducing others to participate in dangerous or unlawful activities that may cause personal injury or death;
(9) any other information containing content that contravenes laws, regulations, policy or public order and good morals, disrupts the normal operation of "Morphly", or infringes the lawful rights and interests of other users or third parties.
7.3.4 Labelling of non-authentic content. Content you create, publish and disseminate must comply with the Provisions on the Administration of Online Audio and Video Information Services, the Provisions on the Governance of the Online Information Content Ecosystem and related laws and regulations, and must not use new technologies and applications based on deep learning, virtual reality and the like to create, publish or disseminate false news information. Where you publish or disseminate non-authentic audio or video information created using new technologies and applications based on deep learning, virtual reality and the like, you shall label it conspicuously.
7.3.5 Complaints and reports. "Morphly" maintains channels through which the public may lodge complaints and reports. If you discover unlawful conduct, unlawful or harmful information, or content infringing your lawful rights and interests (including without limitation intellectual property, personal information, right of likeness or right of reputation) in the Services, in content generated by the Services, or within the "Morphly" product, please contact us at any time to lodge a complaint or report. We will accept and handle your complaint or report promptly in accordance with applicable legal provisions, so as jointly to foster a clean and healthy online space. We attach great importance to the protection of users' personal information, and we will collect, store, use, disclose and protect your personal information by reference to the Privacy Policy.
9.1 Minors using the "Morphly" products and related services should do so under the supervision and guidance of their guardians, should learn to use the internet correctly and within reasonable limits, should avoid becoming addicted to virtual online spaces, and should develop good online habits.
9.2 Minor users must observe the National Youth Online Civility Convention:
Be adept at online learning; do not browse undesirable information;
Communicate honestly and amicably; do not insult or defraud others;
Strengthen self-protection awareness; do not arrange meetings with online acquaintances casually;
Safeguard network security; do not disrupt online order;
Be beneficial to physical and mental health; do not become addicted to virtual time and space.
9.3 In order better to protect the privacy rights and interests of minors, we remind users to exercise caution in publishing content containing material featuring minors. Once published, the user is deemed to have consented to "Morphly" displaying the minor's information, likeness, voice and the like, and to have permitted us to use and process such minor-related content in accordance with this Agreement.
Notices we send to you by electronic means (including without limitation announcements within this product, text messages to the mobile number you have provided, emails to your mailbox, in-app messages to your account, and system messages) are deemed served upon successful transmission. Notices sent in paper form are posted to the contact address you have provided and are deemed served at the time recorded by the postmark. You shall ensure that the contact details you provide are accurate, valid and updated in a timely manner; otherwise you bear the legal consequences of failure of service.
11.1 Governing law: the conclusion, validity, interpretation, performance of this Agreement and the resolution of disputes under it are governed by the laws of the People's Republic of China.
11.2 Any dispute arising out of this Agreement or the Services shall be resolved by the parties through friendly consultation; failing consultation, either party may bring proceedings before the people's court of competent jurisdiction in the place where we are located.
11.3 If any provision of this Agreement is held invalid or unenforceable, that provision shall be deemed severable and the validity of the remaining provisions shall not be affected.
